OnCourse Technologies Acquires TekSoft in Stock-Only Deal

It's the third and largest acquisition for OnCourse Technologies Inc (New Berlin, WI) which has completed the purchase of TekSoft Inc (Phoenix, AZ) in a transaction valued at more than $25 million. The acquisition triples OnCourse revenues, which is preparing to grow its Internet business in the second quarter.

TekSoft is a developer of CAD/CAM software for metal manufacturing industries. Its clients include Allied Signal, BF Goodrich, Glaxo Wellcome, Johnson & Johnson, Polaroid, Procter & Gamble, among others. It joins other software-related companies including Micro Estimating Systems Inc, Cimtronics Inc, and CAM Solutions Inc under the OnCourse corporate umbrella.

The acquisition was jointly announced by Charles Beyer, president of OnCourse Technologies, and Gary Fulton, president of TekSoft. Fulton, who joins the OnCourse, board of directors, will continue as president of TekSoft for a minimum of five years.

OnCourse begain its series of 1998 acquisitions with the purchase of Micro Estimating systems, a leading software supplier of Windows-based estimating products for manufacturing companies. Its clients include Eastman Kodak, Honda of America, Lockheed Martin, NASA, Pitney-Bowes, GM, Caterpillar, and Xerox, among others. Over the last 12 months, OnCourse has continued its rapid growth through the acquisitions of CAM Solutions Inc, a distributor of CAD/CAM and related products, and Cimtronics Inc, a sales and marketing organization that represents computer software developers.

In addition, OnCourse has a strategic alliance with Sandvik Coromant to be the sole distributor of Sandvik's AutoTAS tool management software in the U.S. and Canada.
